Please read these Terms and Conditions carefully before engaging the services of Kraya Solutions. By accessing our website or entering into a service agreement with us, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, please refrain from using our services.

1. About Kraya Solutions

Kraya Solutions is a technology services company based in India, providing Web Development, Digital Marketing, and AI Automation services to businesses and individuals. These Terms govern your use of our website and services.

2. Services Offered

Kraya Solutions offers the following primary services:

• Web Development: Custom website design, development, and maintenance
• Digital Marketing: SEO, social media marketing, paid advertising, and content strategy
• AI Automation: Workflow automation, AI integration, chatbot development, and process optimization

The specific scope of services for each engagement will be defined in a separate Service Agreement or Statement of Work (SoW) signed by both parties.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate, complete, and timely information required for project execution
• Review and approve deliverables within agreed timelines
• Assign a point of contact for efficient communication
• Ensure you hold the rights to any content, logos, or materials provided to us
• Make timely payments as per the agreed milestone schedule

4. Payment Terms

4.1 Milestone-Based Billing

All projects are billed on a milestone basis as defined in the project agreement. Payments are due upon the completion and delivery of each milestone as specified in the Statement of Work.

4.2 Payment Due Date

Invoices are due within 7 business days of issuance unless otherwise specified in the project agreement.

4.3 Late Payments

In case of delayed payments beyond the due date, Kraya Solutions reserves the right to pause work on the project until full payment is received. A late payment fee of 1.5% per month may be applied on overdue amounts.

4.4 Taxes

All fees are exclusive of applicable taxes, including GST as per Indian tax laws. Clients are responsible for any applicable taxes unless otherwise agreed in writing.

5. Intellectual Property Rights

5.1 Client Ownership

Upon receipt of full payment for all milestones, Kraya Solutions assigns all intellectual property rights to the final deliverables to the client, as outlined in the project agreement.

5.2 Kraya Solutions IP

Any proprietary tools, frameworks, methodologies, pre-existing code libraries, or processes used by Kraya Solutions remain the exclusive property of Kraya Solutions, even if incorporated into client deliverables.

5.3 Portfolio Rights

Unless otherwise specified in writing, Kraya Solutions reserves the right to display work completed for clients in our portfolio and marketing materials.

6. Confidentiality

Both parties agree to keep confidential all proprietary or sensitive information exchanged during the course of the engagement. This obligation survives the termination of the service agreement for a period of 2 years.

7. Project Revisions & Scope Changes

Revisions within the agreed scope are included as defined in the project agreement. Requests for work beyond the original scope will be treated as change requests and will be quoted and billed separately. Kraya Solutions will not begin out-of-scope work without written approval from the client.

8. Warranties & Disclaimers

Kraya Solutions warrants that services will be performed with reasonable skill and care in accordance with industry standards. However:

• We do not guarantee specific business outcomes such as revenue growth, SEO rankings, or lead generation targets
• Third-party platforms and tools are subject to their own terms and availability
• AI automation outcomes are dependent on the quality of data and integrations provided by the client

9. Limitation of Liability

To the maximum extent permitted by applicable law, Kraya Solutions shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our services. Our total liability in connection with any project shall not exceed the total fees paid by the client for that specific project.

10. Termination

Either party may terminate a project engagement with 14 days written notice. Upon termination:

• The client is responsible for payment of all completed milestones up to the date of termination
• Kraya Solutions will deliver all completed work to the client
• Refunds for incomplete milestones will not be issued (see Refund Policy)

11. Dispute Resolution

In the event of any dispute arising out of or in connection with these Terms or any service agreement, the parties shall first attempt to resolve the matter through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to binding arbitration under the Arbitration and Conciliation Act, 1996 of India. The jurisdiction for all legal proceedings shall be the courts of India.

12. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in India.

13. Modifications to Terms

Kraya Solutions reserves the right to modify these Terms at any time. Updated Terms will be posted on our website with a revised effective date. Continued use of our services following any update constitutes acceptance of the revised Terms.
